Last updated: July 11, 2026. These Terms & Conditions govern your access to and use of the GrowithAmazon website and our Amazon marketplace consulting, account management, advertising, and SEO services.

1. Acceptance of Terms

These Terms & Conditions ("Terms") form a legally binding agreement between you ("you," "client," or "user") and GrowithAmazon ("GrowithAmazon," "we," "us," or "our") governing your access to and use of growithamazon.com (the "Site") and any services we provide, including Amazon marketplace consulting, account management, advertising, SEO, and related e-commerce services (collectively, the "Services").

By accessing or using our Site, submitting an inquiry, booking a consultation, or engaging our Services in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, please do not use our Site or Services.

2. Eligibility

Our Services are intended for businesses and individuals aged 18 or older who have the legal capacity to enter into a binding contract. By using our Services, you represent and warrant that you meet these requirements and that any information you provide to us is accurate, current, and complete.

3. Our Services

GrowithAmazon provides Amazon marketplace consulting and growth services, which may include, without limitation:

  • Amazon seller and vendor account setup, management, and optimization.
  • Product listing creation, enhancement, and A+ Content development.
  • Amazon PPC advertising campaign strategy, setup, and management.
  • Brand registry assistance and brand protection support.
  • Search engine optimization (SEO) for product listings and storefronts.
  • Account health monitoring, case log management, and reinstatement support.
  • Reporting, analytics, and performance reviews.

The precise scope, deliverables, timelines, and fees for any engagement are set out in the applicable proposal, quote, statement of work, or service agreement ("Service Agreement") agreed between GrowithAmazon and the client. In the event of any conflict between these Terms and a Service Agreement, the Service Agreement shall prevail with respect to the specific engagement it covers.

4. Service Agreements & Onboarding

Before we begin work, we will typically issue a proposal, quote, or Service Agreement describing the scope of Services, pricing, timelines, and any specific terms applicable to your engagement. Services commence only after you have accepted the applicable proposal or Service Agreement, whether by signature, written confirmation (including email), or by making the required initial payment.

As part of onboarding, we may request access to your Amazon Seller Central or Vendor Central account, advertising console, or other relevant platforms. You agree to provide such access in a timely manner and to promptly furnish any information reasonably required for us to perform the Services.

5. Client Responsibilities

As a client, you agree to:

  • Provide accurate, complete, and up-to-date information about your business, products, and Amazon account.
  • Grant timely access to accounts, tools, and platforms necessary for us to perform the Services.
  • Ensure that all products, listings, and content you provide comply with applicable laws and Amazon's policies.
  • Respond to reasonable requests for information, approvals, or feedback within agreed timeframes.
  • Make payments in accordance with the agreed fee schedule.
  • Maintain the confidentiality of any credentials or account access shared with our team.

Delays or inaccuracies in information or access provided by the client may affect timelines and outcomes, and GrowithAmazon shall not be responsible for delays or results caused by such client-side factors.

6. Fees & Payment Terms

Fees for our Services are set out in the applicable proposal or Service Agreement and may be structured as a one-time fee, a recurring monthly retainer, a percentage of advertising spend or sales, or a combination thereof. Unless otherwise agreed in writing:

  • Invoices are due upon receipt or within the payment period specified on the invoice.
  • Recurring service fees are billed in advance on a monthly basis.
  • Amazon advertising spend, third-party tool costs, and similar pass-through expenses are separate from our service fees and are the client's responsibility.
  • Late payments may result in suspension of Services until outstanding amounts are settled, and may accrue late fees as permitted by applicable law.
  • All fees are exclusive of applicable taxes unless stated otherwise.

7. Refunds & Cancellations

Because our Services involve time, labor, and third-party advertising spend committed on your behalf, fees already paid for Services rendered are generally non-refundable, except as expressly stated in your Service Agreement or as required by applicable law. Either party may terminate an ongoing engagement in accordance with the notice period specified in the Service Agreement, or, if none is specified, with 30 days' written notice. Fees for work performed or committed prior to the effective date of termination remain payable.

8. Amazon & Marketplace Disclaimer

GrowithAmazon is an independent agency dedicated to supporting Amazon sellers and vendors. We are not affiliated with, endorsed by, sponsored by, or officially connected with Amazon.com, Inc. or any of its affiliates, unless expressly stated otherwise. "Amazon," "Amazon Seller Central," "Amazon Vendor Central," and all related names, logos, and marks are trademarks of Amazon.com, Inc. or its affiliates and are used solely for identification and descriptive purposes.

Our Services relate to helping clients manage and grow their presence on Amazon and other marketplaces; however, Amazon's policies, algorithms, fees, and terms of service are controlled exclusively by Amazon and are subject to change at any time without our control or prior notice.

9. Account Access & Third-Party Platforms

Where you grant us access to your Amazon Seller Central, Vendor Central, advertising console, or other third-party accounts, such access is provided solely for the purpose of performing the agreed Services. We will only take actions on your account that are reasonably necessary to deliver the Services, and you may revoke this access at any time, subject to the terms of your Service Agreement.

You remain solely responsible for your relationship with Amazon and any other third-party platform, including compliance with their respective terms of service, policies, and guidelines. GrowithAmazon is not responsible for actions taken by Amazon or any third-party platform, including account suspensions, listing removals, or policy enforcement actions, except to the extent directly caused by our gross negligence or willful misconduct.

10. No Guarantee of Results

While we apply industry knowledge, experience, and best practices to help grow your Amazon presence, e-commerce performance is influenced by many factors outside our control, including marketplace competition, Amazon's algorithms and policies, product quality, pricing, seasonality, and consumer demand. Accordingly, GrowithAmazon does not guarantee any specific level of sales, rankings, advertising performance, account reinstatement, or other outcomes from our Services.

11. Intellectual Property

All content on the Site, including text, graphics, logos, icons, images, software, and their selection and arrangement, is the property of GrowithAmazon or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any part of the Site without our prior written consent.

Any custom deliverables created specifically for a client under a Service Agreement (such as listing copy, creative assets, or advertising campaigns) will be owned by the client upon full payment of the applicable fees, except for any GrowithAmazon proprietary tools, templates, methodologies, or pre-existing materials, which remain our property and may be reused across other client engagements.

12. Confidentiality

Each party agrees to keep confidential any non-public business, financial, technical, or account information disclosed by the other party in connection with the Services ("Confidential Information"), and to use such information solely for the purpose of performing or receiving the Services. This obligation does not apply to information that is publicly available, already known to the receiving party without restriction, or required to be disclosed by law.

13. Prohibited Conduct

When using our Site or Services, you agree not to:

  • Use the Site or Services for any unlawful purpose or in violation of any applicable law or regulation.
  • Provide false, misleading, or fraudulent information about your business, products, or Amazon account.
  • Attempt to manipulate marketplace rankings or reviews through prohibited or deceptive practices.
  • Interfere with, disrupt, or attempt to gain unauthorized access to our systems, Site, or data.
  • Reproduce, resell, or exploit any part of the Site or our proprietary methodologies without authorization.
  • Infringe upon the intellectual property or other rights of GrowithAmazon or any third party.

15. Disclaimer of Warranties

The Site and Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that any Amazon account, listing, or advertising outcome will meet your expectations.

16. Limitation of Liability

To the maximum extent permitted by applicable law, GrowithAmazon shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Site or Services, even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to these Terms or any Service Agreement shall not exceed the total amount paid by you to GrowithAmazon for the Services giving rise to the claim in the twelve (12) months preceding the event giving rise to liability.

17. Indemnification

You agree to indemnify, defend, and hold harmless GrowithAmazon, its officers, employees, and contractors from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your violation of any law or third-party right, including Amazon's policies; or (c) any content, product, or information you provide to us in connection with the Services.

18. Termination

We reserve the right to suspend or terminate your access to the Site or Services at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in unlawful or fraudulent conduct, or failed to make required payments. Upon termination, any outstanding fees for Services already rendered remain due and payable, and provisions of these Terms that by their nature should survive termination (including confidentiality, intellectual property, limitation of liability, and indemnification) shall continue to apply.

19. Dispute Resolution

In the event of a dispute arising out of or relating to these Terms or our Services, both parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved informally within a reasonable period, either party may pursue any remedy available under applicable law, subject to the governing law and venue provisions set out below.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts located in Pennsylvania, and you consent to the personal jurisdiction of such courts.

21. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, internet or utility failures, or changes to Amazon's or any third-party platform's policies, systems, or availability.

22. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, business practices, or legal requirements. Any changes will be posted on this page with a revised "Last updated" date, and, where required, we will provide additional notice of material changes. Your continued use of the Site or Services after changes are posted constitutes your acceptance of the updated Terms.

23. Severability & Entire Agreement

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. These Terms, together with any applicable Service Agreement and our Privacy Policy, constitute the entire agreement between you and GrowithAmazon with respect to the Site and Services, and supersede any prior agreements or understandings, whether written or oral.
